SECTION 1: COLORFULL IS A TECHNOLOGY PLATFORM ONLY READ THIS FIRST. This section defines the entire legal relationship between you and Colorfull Corp LLC. COLORFULL CORP LLC IS A TECHNOLOGY PLATFORM ONLY. Colorfull is NOT a restaurant, caterer, food operator, food facility, food handler, chef, cook, meal prep service, grocery buyer, ingredient supplier, kitchen operator, venue operator, event producer, event planner, employer, staffing agency, insurer, guarantor, legal advisor, tax advisor, health department, or government regulator — in any capacity, at any time, under any circumstance. 1.1 Colorfull Has Zero Involvement in Any Food Colorfull Corp LLC does not, at any point: purchase, source, procure, fund, or select any food, beverages, ingredients, alcohol, produce, protein, dairy, spices, oils, or any other consumable served at any event; prepare, cook, bake, grill, fry, steam, plate, portion, blend, mix, marinate, or otherwise process any food or beverage; store, refrigerate, freeze, transport, deliver, package, label, or handle any food or beverage; supervise, direct, instruct, control, or monitor how any food is sourced, prepared, stored, handled, served, or disposed of; determine, approve, or review any menu, recipe, ingredient list, allergen content, portion size, or nutritional information; inspect, certify, or approve any kitchen, prep area, storage conditions, or food handling practice; or determine whether any food operation meets any local, state, or federal health, safety, permitting, or zoning requirement. ⚠ ALL FOOD, BEVERAGES, INGREDIENTS, PREPARATION, STORAGE, HANDLING, SERVICE, AND DISPOSAL ARE THE SOLE RESPONSIBILITY OF THE INDEPENDENT HOST OR CHEF. COLORFULL HAS NO KNOWLEDGE OF, CONTROL OVER, OR LIABILITY FOR ANY OF IT. 1.2 Colorfull Does Not Operate Any Venue Colorfull Corp LLC does not own, lease, operate, manage, maintain, inspect, or insure any venue, home, apartment, private residence, restaurant space, commercial kitchen, outdoor space, or any other physical location where any event takes place. The safety, condition, and legality of the event venue is entirely the responsibility of the independent host or venue operator. 1.3 Colorfull Does Not Employ Hosts, Chefs, or Guests Hosts, chefs, and all event personnel are independent parties — not an employee, agent, contractor, franchisee, joint venturer, or legal representative of Colorfull Corp LLC. Colorfull has no right to control, direct, or supervise the work, methods, schedule, pricing, menu, tools, staffing, or conduct of any host, chef, creator, vendor, or event participant. 1.4 No Sponsorship Creates Operational Responsibility From time to time, Colorfull may support a specific event through contributions such as groceries, ingredients, funds, branding, or social media promotion. ANY SUCH CONTRIBUTION DOES NOT: make Colorfull the host, co-host, caterer, food operator, employer, event producer, or responsible party; transfer any food safety, permitting, insurance, tax, or legal compliance responsibility to Colorfull; create any ongoing sponsorship obligation, partnership, or joint venture; or constitute an endorsement, certification, or safety approval of the event, food, venue, or host. 1.5 No Verification of Permits, Licenses, Insurance, or Backgrounds Colorfull Corp LLC does not verify that any host, chef, vendor, or venue holds any required permit, license, certification, or insurance. Colorfull does not conduct criminal background checks on any host, chef, guest, vendor, or venue operator. Any "featured," "curated," or "approved" label is for organizational purposes only and does not imply any vetting, certification, or legal clearance. 1.6 What Colorfull Actually Provides COLORFULL'S ROLE IS LIMITED EXCLUSIVELY TO: a digital marketplace platform for listing and promoting events; technology tools for event management, ticketing, and guest discovery; optional marketing, promotional, and content support; payment processing facilitation through third-party processors; and community guidelines and platform policies. Everything that happens in the real world — the food, kitchen, venue, guests, staff, permits, insurance, safety — is entirely the responsibility of the independent parties involved. BY PURCHASING A TICKET OR ATTENDING ANY COLORFULL EVENT, YOU EXPRESSLY AND VOLUNTARILY ASSUME ALL OF THE RISKS DESCRIBED ABOVE AND ALL OTHER RISKS ASSOCIATED WITH YOUR ATTENDANCE, WHETHER KNOWN OR UNKNOWN. SECTION 2: ACCEPTANCE, ELIGIBILITY & ACCOUNT 2.1 Binding Agreement. By using the platform in any capacity, you enter into a legally binding agreement with Colorfull Corp LLC consisting of this Agreement, Colorfull's Privacy Policy, Cookie Policy, and any event-specific addenda. 2.2 Eligibility. You must be at least 18 years of age to use the platform. By using the platform, you represent and warrant that you are at least 18, have legal capacity to enter this Agreement, are not barred from using the platform under any law or court order, and that all information you provide is accurate and complete. 2.3 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You may not share, sell, or transfer your account. Notify Colorfull immediately at support@colorfull.com of any unauthorized access. 2.4 Modifications. Colorfull may modify this Agreement at any time with or without prior notice. Your continued use of the platform constitutes acceptance of the revised Agreement. SECTION 3: VOLUNTARY PARTICIPATION & ASSUMPTION OF RISK 3.1 You Attend Voluntarily. Your attendance at any Colorfull event is entirely voluntary. 3.2 Risks You Assume. You voluntarily assume all known and unknown risks, including: • Food and Health Risks: foodborne illness, food poisoning, or contamination; allergic reactions including severe or life-threatening anaphylaxis to undisclosed or unknown allergens; cross-contact with allergens; risks from food prepared in a home kitchen or unlicensed facility. • Venue and Physical Risks: slips, trips, falls, cuts, burns, or other physical injuries; unsafe or unsuitable venue conditions, structural hazards, fire risks, or overcrowding. • Alcohol and Interpersonal Risks: intoxication and impaired judgment; exposure to strangers — hosts, chefs, staff, and other guests — none of whom have been background-checked by Colorfull; harassment, assault, theft, property damage, or other harmful conduct. • Technology and Platform Risks: technology failures resulting in missed bookings, incorrect event details, or failed payment processing; inaccurate, incomplete, or outdated listing information. SECTION 4: YOUR RESPONSIBILITIES AS A GUEST 4.1 Food Safety — Your Responsibility to Inquire. If you have food allergies, dietary restrictions, medical conditions, pregnancy-related dietary needs, or religious dietary requirements, you are solely responsible for reviewing all event and menu information before purchasing; contacting the host directly before attending; making an informed independent decision about whether the event is safe for you; and carrying any required medications including epinephrine auto-injectors. 4.2 Guest Conduct. You agree to behave respectfully, safely, and lawfully at all times. You will NOT harass, threaten, assault, stalk, or harm anyone; engage in discriminatory conduct, hate speech, or sexual misconduct; bring weapons, illegal drugs, or unauthorized dangerous items; steal or damage property; or engage in any illegal activity. 4.3 Alcohol. If alcohol is available, you are solely responsible for drinking responsibly, not driving while impaired, complying with all applicable laws, and arranging safe transportation home in advance. 4.4 Transportation. You are solely responsible for arranging your own safe transportation to and from every event. 4.5 Minors. Events are intended for adults aged 18 and over. You may not bring a minor without express prior written approval from both the host and Colorfull. SECTION 5: NO GUARANTEES 5.1 No Guarantee of Food Safety, Quality, or Allergen-Free Environment. Colorfull makes no representation or warranty about the safety, quality, allergen content, freshness, or legality of any food or beverage. Colorfull does not guarantee any allergen-free, gluten-free, nut-free, dairy-free, kosher, halal, vegan, vegetarian, organic, or contamination-free environment — even if such requirements are listed in event materials. 5.2 No Guarantee of Venue Safety or Host/Guest Conduct. 5.3 No Medical or Nutrition Advice. 5.4 No Guarantee of Experience. SECTION 5B: TICKETS, PAYMENTS, CANCELLATIONS & REFUNDS All ticket purchases are subject to Colorfull's refund and cancellation policy in effect at the time of purchase. Colorfull may cancel, postpone, modify, relocate, or reschedule any event at any time for any reason. Refunds are at Colorfull's sole discretion unless required by applicable law. You agree to contact support@colorfull.com before initiating any chargeback. Tickets are non-transferable unless Colorfull's policy expressly permits transfers. Colorfull is not responsible for disputes between users; in an emergency, call 911. SECTION 6: NON-CIRCUMVENTION, CONFIDENTIALITY & COMPETITIVE PROTECTIONS 6.1 Non-Circumvention. You will not (a) contact, solicit, engage, transact with, or enter into any agreement with any Colorfull Introduction for any purpose that circumvents, competes with, or bypasses the Colorfull platform; (b) use platform information to recruit, solicit, or independently engage any host, chef, guest, vendor, or sponsor for a competing or off-platform service; (c) organize or participate in any off-platform competing event involving any person you met through Colorfull; (d) these obligations apply during your use of the platform and for TWO (2) YEARS following termination; (e) breach entitles Colorfull to injunctive relief, specific performance, and monetary damages, including disgorgement and attorneys' fees. ⚠ Unauthorized access to or extraction of platform data may violate the Computer Fraud and Abuse Act (18 U.S.C. §1030), California Penal Code §502, and the Defend Trade Secrets Act (18 U.S.C. §1836). ⚠ California Non-Compete Notice: California Business & Professions Code Section 16600 limits the enforceability of non-compete agreements. These clauses are narrowly tailored to protect specific platform relationships and trade secrets, not as broad non-compete restrictions. 6.2 Confidentiality. You agree to hold all non-public, proprietary, or confidential information about Colorfull in strict confidence; not disclose it without consent; use it only for participating in the platform; and notify Colorfull of any unauthorized disclosure. This obligation survives for FIVE (5) YEARS. 6.3 Platform Data & Anti-Scraping Prohibition. You will not scrape, crawl, harvest, copy, download, or extract platform data; access APIs/databases except through authorized means; replicate the platform's structure for any competing purpose; use platform data to train any competing algorithm; or share, sell, license, or transfer platform data to any third party. 6.4 IP Non-Assertion & Feedback. Colorfull is the sole owner of the platform, brand, and all related IP. Feedback you submit becomes Colorfull's property immediately upon submission. 6.5 Non-Solicitation. For TWO (2) YEARS following termination, you will not solicit any host, chef, guest, vendor, sponsor, or brand partner you met through Colorfull to terminate or reduce their relationship with Colorfull. SECTION 7: CONTENT, MEDIA & INTELLECTUAL PROPERTY RIGHTS 7.1 Your Grant of Rights. By attending, booking, or participating in any Colorfull-related event, you irrevocably grant Colorfull an UNRESTRICTED, WORLDWIDE, ROYALTY-FREE, FULLY PAID, PERPETUAL, IRREVOCABLE, SUBLICENSABLE, TRANSFERABLE license — with no expiration, no geographic limitation, no usage cap, and no payment obligation — surviving termination of your account. 7.2 What Content Is Covered. ALL content captured, submitted, created, tagged, shared, uploaded, or associated with Colorfull, including photos, videos, reels, stories, livestreams, social posts, captions, hashtags, reviews, audio recordings, candid footage, geotags, reaction videos, and your name, likeness, voice, image, and handle. 7.3 How Colorfull May Use Your Content. Any purpose on any platform now existing or later developed: paid social ads, organic posts, email/SMS/push, the Colorfull website and apps, investor and partnership decks, press and media kits, broadcast advertising, out-of-home advertising, physical activations, and any future medium. 7.4 No Credit, Approval, or Compensation Required. 7.5 Social Media Tags, Mentions & Hashtags. Tagging Colorfull or using a Colorfull hashtag grants Colorfull repost/reshare/embed/screenshot/download/adapt rights without permission or compensation. Includes #Colorfull, #ColorfullDinner, #ColorfullChef, #ColorfullHost, #ColorfullExperience, @colorfull. 7.6 Content Captured by Colorfull. By attending where Colorfull has a presence, you consent to being photographed, filmed, and recorded. 7.7 Your Content Representations. You own or have all rights to the content; it does not infringe any third party's IP, privacy, or publicity rights. 7.8 FTC Disclosure Compliance. If you receive any benefit, you must comply with all FTC endorsement disclosure guidelines using clear language such as #SponsoredByColorfull or #HostedByColorfull. 7.9 DMCA. Send notices to legal@colorfull.com. SECTION 8: INDEMNIFICATION, RELEASE & LIMITATION OF LIABILITY 8.1 Your Indemnification of Colorfull. You agree to fully defend, indemnify, and hold harmless Colorfull Corp LLC and all Colorfull Parties from any and all claims arising out of your conduct, your violation of this Agreement or law, harm or property damage you cause, any allergic reaction, illness, injury, or death connected to any event, your content, any claim that Colorfull is responsible for your acts, any breach of Section 6, any IP/privacy/publicity violation, and any dispute with another user. 8.2 No Personal Liability of Colorfull's Individuals. 8.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COLORFULL PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR SIMILAR DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, REPUTATIONAL HARM, EMOTIONAL DISTRESS, PERSONAL INJURY, ILLNESS, OR DEATH. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID COLORFULL FOR THE SPECIFIC EVENT, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS LESS. 8.4 California Civil Code Section 1542 Waiver. You expressly waive Section 1542 and release both known and unknown claims. SECTION 9: DISPUTE RESOLUTION & GOVERNING LAW PLEASE READ THIS CAREFULLY. IT WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS. 9.1 Mandatory Binding Arbitration via JAMS or AAA, not in court. 9.2 Arbitration Terms. Individual capacity only; no class, collective, or representative actions; jury waiver; venue Los Angeles County, California; California law applies; arbitrator's decision is final. ALL CLAIMS MUST BE FILED WITHIN ONE (1) YEAR OR ARE PERMANENTLY WAIVED. 9.3 Governing Law & Venue. California; Los Angeles County. 9.4 Severability. 9.5 Force Majeure. SECTION 10: GENERAL PROVISIONS 10.1 Entire Agreement. 10.2 Platform Technology Disclaimer. The platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. 10.3 Contact: support@colorfull.com | safety@colorfull.com | legal@colorfull.com SECTION 10C: MARKETING, PROMOTIONAL USE & DATA MONETIZATION CONSENT By using the platform, reserving a seat, attending an event, or otherwise submitting information to Colorfull, you expressly and irrevocably consent to Colorfull's collection, storage, use, combination, analysis, sharing, disclosure, transfer, licensing, rental, and SALE of your personal information — including your name, email address, phone number, mailing address, IP address, device identifiers, geolocation, demographic and inferred lifestyle information, dining preferences, dietary information, attendance and booking history, payment metadata, photos, audio, video, and any other information you submit or generate on or through the platform — for any commercial purpose Colorfull deems appropriate, including but not limited to: (a) marketing, advertising, promotional, retargeting, lookalike-modeling, and audience-segmentation campaigns by Colorfull and its affiliates, hosts, chefs, sponsors, brand partners, ad networks, and data partners across email, SMS, push, paid social, programmatic display, connected TV, podcast, out-of-home, and any current or future medium; (b) SALE, RENTAL, LICENSE, EXCHANGE, OR TRANSFER of your personal information and any audience segments derived from it to third parties — including data brokers, advertising platforms, brand partners, list buyers, market researchers, and analytics providers — for monetary or other valuable consideration; (c) use of your name, likeness, voice, image, social handle, quotes, and testimonials in advertising and promotional materials without further notice, approval, credit, or compensation; (d) combination of your information with data obtained from third parties for ad targeting, audience modeling, scoring, and commercial analytics; and (e) any other monetization of your information consistent with Colorfull's Privacy Policy, as updated from time to time. You acknowledge that this consent expressly authorizes the "sale" and "sharing" of personal information as those terms are defined under the California Consumer Privacy Act / CPRA, Virginia VCDPA, Colorado CPA, and similar state privacy laws. Where required by law, you may opt out of the sale or sharing of your personal information for cross-context behavioral advertising by emailing privacy@eatcolorfull.com with the subject line "Do Not Sell or Share My Personal Information." Opting out does not entitle you to a refund and does not revoke any other consent granted in this Agreement. EU/UK residents may exercise GDPR rights by writing to the same address. SECTION 11: GUEST CONFIRMATION By checking "I agree" below, you affirmatively confirm each of the following: you have read, understood, and agree to the full Guest & Attendee Agreement; you understand Colorfull is a technology platform only and does not purchase, prepare, cook, store, handle, transport, or serve any food or beverages; you understand the host or chef is an independent party solely responsible for all food, venue, staff, permits, insurance, and event operations; you understand Colorfull has NOT conducted background checks; you voluntarily assume all risks of attending; you agree to the non-circumvention and confidentiality obligations in Section 6; you agree to release, defend, indemnify, and hold harmless Colorfull and all Colorfull Parties; you grant Colorfull the perpetual, irrevocable, worldwide, royalty-free content and media rights described in Section 7; you expressly consent to the marketing, promotional use, and sale of your personal information described in Section 10C; and you confirm you are at least 18 years of age and have full legal authority to enter into this Agreement.
