Colorfull Corp LLC — Host & Chef Agreement (v2.0, Effective June 1, 2026)

CONFIDENTIAL — INTERNAL REVIEW DRAFT ONLY. Have a licensed California hospitality and platform attorney review before public launch. SECTION 1: COLORFULL IS A TECHNOLOGY PLATFORM ONLY READ THIS FIRST. This section defines the entire legal relationship between you and Colorfull Corp LLC. COLORFULL CORP LLC IS A TECHNOLOGY PLATFORM ONLY. Colorfull is NOT a restaurant, caterer, food operator, food facility, food handler, chef, cook, meal prep service, grocery buyer, ingredient supplier, kitchen operator, venue operator, event producer, event planner, employer, staffing agency, insurer, guarantor, legal advisor, tax advisor, health department, or government regulator — in any capacity, at any time, under any circumstance. 1.1 Colorfull Has Zero Involvement in Any Food. Colorfull does not purchase, source, fund, or select any food, beverages, ingredients, alcohol, or any consumable; prepare, cook, store, transport, deliver, package, or handle any food; supervise or monitor sourcing, preparation, storage, handling, service, or disposal; determine or review any menu, recipe, ingredient list, allergen content, portion size, or nutrition information; inspect or certify any kitchen, prep area, or food-handling practice; or determine whether any food operation meets any health, safety, permitting, or zoning requirement. ⚠ ALL FOOD, BEVERAGES, INGREDIENTS, PREPARATION, STORAGE, HANDLING, SERVICE, AND DISPOSAL ARE THE SOLE RESPONSIBILITY OF THE INDEPENDENT HOST OR CHEF. 1.2 Colorfull Does Not Operate Any Venue. 1.3 Colorfull Does Not Employ Hosts, Chefs, or Guests. You are an independent party — not an employee, agent, contractor, franchisee, joint venturer, or legal representative of Colorfull. 1.4 No Sponsorship Creates Operational Responsibility. Groceries, ingredients, funds, branding, or social media promotion from Colorfull do not make Colorfull the host, co-host, caterer, food operator, employer, or producer; do not transfer food safety, permitting, insurance, tax, or legal compliance responsibility to Colorfull; and do not constitute an endorsement, certification, or safety approval. 1.5 No Verification of Permits, Licenses, Insurance, or Backgrounds. 1.6 What Colorfull Actually Provides. A digital marketplace; event management/ticketing/discovery tools; optional marketing support; payment processing facilitation via third parties; and community guidelines. SECTION 2: ACCEPTANCE, ELIGIBILITY & ACCOUNT 2.1 Binding Agreement. 2.2 Eligibility (18+, legal capacity, accurate info). 2.3 Account Security. 2.4 Modifications. SECTION 3: YOUR SOLE RESPONSIBILITIES AS HOST OR CHEF 3.1 Legal Compliance. You are solely responsible for confirming your event, menu, kitchen, venue, services, ticketing, promotion, alcohol service, and staffing are lawful under all applicable federal, state, county, and municipal laws — including health department rules, food safety codes, zoning and fire codes, business licensing, cottage food and MEHKO rules, catering laws, alcohol licensing, tax laws, labor laws, FTC advertising rules, and HOA/lease restrictions. Colorfull's listing or promotion of your event is NOT legal approval. 3.2 Food Safety. You are solely responsible for lawful sourcing, required storage temperatures, preparation in a legally authorized kitchen by certified handlers, required cooking temperatures, and lawful service, transport, and disposal. 3.3 Permits, Licenses & Insurance. You represent and warrant that before hosting you have obtained and will maintain: general liability insurance; food handler's permit and/or food manager certification; business license; alcohol service license if applicable; venue/special event permit; MEHKO, cottage food, or catering permit as required. You will provide proof upon Colorfull's request. 3.4 Allergen Disclosure. You must identify and disclose all known major allergens (milk, eggs, fish, shellfish, tree nuts, peanuts, wheat, soy, sesame, and any other allergen required by law). 3.5 Alcohol Service. Unless expressly approved in writing by Colorfull and fully permitted by law, you may not sell, serve, distribute, or encourage alcohol consumption at any Colorfull-related event. 3.6 Venue Safety. You are solely responsible for safe, clean, suitable venue conditions; fire code/occupancy compliance; adequate emergency egress; and response to any on-site incident. 3.7 Guest Management. You are responsible for vetting and approving guests; communicating event details and rules clearly; managing guest conduct; preventing discrimination or harassment; and notifying support@colorfull.com immediately of any safety issue, injury, illness, allergic reaction, government inquiry, or legal issue. 3.8 Taxes. You are solely responsible for all federal, state, and local income taxes, self-employment taxes, and applicable sales tax. Colorfull does not provide tax advice or forms unless required by law. SECTION 4: COLORFULL'S PLATFORM RIGHTS 4.1 Right to Approve, Reject, or Remove. Colorfull may approve, reject, remove, cancel, suspend, pause, hide, edit, reschedule, or terminate any listing, event, profile, collaboration, sponsorship, campaign, content, or account at its sole discretion for any reason — including safety, legal, reputational, or compliance concerns — without liability for lost profits, food costs, labor costs, or lost exposure. 4.2 No Guarantee. Colorfull does not guarantee any minimum number of guests, bookings, ticket sales, revenue, followers, views, media coverage, sponsorships, or platform placement. SECTION 5: PAYMENTS, FEES & CHARGEBACKS 5.1 Payment Terms governed by Colorfull's payment policies and third-party processor terms. 5.2 Withholding and Reversal. Colorfull may withhold, delay, reverse, offset, or cancel payment for suspected fraud, disputes, chargebacks, cancellations, noncompliance, safety incidents, or breach. 5.3 Tax Responsibility. You alone are responsible for all taxes. SECTION 6: NON-CIRCUMVENTION, CONFIDENTIALITY & COMPETITIVE PROTECTIONS 6.1 Non-Circumvention. (a) No contacting, soliciting, transacting, or contracting with any Colorfull Introduction in a way that circumvents the platform; (b) no using platform information to recruit any host/chef/guest/vendor/sponsor for a competing service; (c) no organizing or participating in any off-platform competing event involving any person met through Colorfull; (d) applies during use and for TWO (2) YEARS after termination; (e) breach allows injunctive relief, specific performance, monetary damages, disgorgement, and attorneys' fees. ⚠ Unauthorized data extraction may violate 18 U.S.C. §1030, California Penal Code §502, and 18 U.S.C. §1836. ⚠ California Non-Compete Notice (Business & Professions Code §16600): clauses narrowly tailored to protect specific platform relationships and trade secrets. 6.2 Confidentiality. Strict confidence over non-public information for FIVE (5) YEARS after termination. 6.3 Platform Data & Anti-Scraping Prohibition. No scraping, crawling, harvesting, copying, or extracting any platform data; no unauthorized API/database access; no replicating the platform's structure for competing purposes; no using platform data to train competing models; no sharing/selling/transferring data to third parties. 6.4 IP Non-Assertion & Feedback. Colorfull owns all platform IP; your participation grants no equity or IP interest; Feedback becomes Colorfull's property upon submission. 6.5 Non-Solicitation. TWO (2) YEAR post-termination non-solicit of platform relationships. SECTION 7: CONTENT, MEDIA & INTELLECTUAL PROPERTY RIGHTS 7.1 Your Grant of Rights. By hosting, creating, or collaborating on any Colorfull-related event or activity, you irrevocably grant Colorfull an UNRESTRICTED, WORLDWIDE, ROYALTY-FREE, FULLY PAID, PERPETUAL, IRREVOCABLE, SUBLICENSABLE, TRANSFERABLE license — no expiration, no geographic limit, no usage cap, no payment obligation — surviving termination of your account or deletion of your content. 7.2 What Content Is Covered. ALL content captured, submitted, created, tagged, shared, uploaded, or associated with Colorfull, including photos, videos, reels, stories, livestreams; social posts/captions/comments/hashtags/mentions on Instagram, TikTok, YouTube, Facebook, X, Threads, Pinterest, LinkedIn, Snapchat, and any other platform; reviews and testimonials; audio recordings/interviews; behind-the-scenes footage and event recaps; your menus, recipes, plating concepts, food styling, and culinary creations; your kitchen, cooking process, event setup, and atmosphere footage; your name, business name, chef brand, and professional identity; and your name, likeness, voice, image, and social media handle. 7.3 How Colorfull May Use Your Content. Any purpose on any platform now existing or later developed — paid social ads; organic posts; email/SMS/push; the Colorfull website and apps; investor and partnership decks; press and media kits; broadcast, out-of-home, and physical activations; any future medium. 7.4 No Credit, Approval, or Compensation Required. 7.5 Social Media Tags, Mentions & Hashtags. Tagging Colorfull or using a Colorfull hashtag grants Colorfull repost/reshare/embed/screenshot/download/adapt rights without permission or compensation. 7.6 Content Captured by Colorfull. You consent to being photographed, filmed, and recorded at events where Colorfull has a presence. 7.7 Your Content Representations. You own or have all rights to the content; no infringement; required consents obtained. 7.8 FTC Disclosure Compliance using clear hashtags such as #SponsoredByColorfull or #HostedByColorfull. 7.9 DMCA notices to legal@colorfull.com. SECTION 8: INDEMNIFICATION, RELEASE & LIMITATION OF LIABILITY 8.1 Your Indemnification of Colorfull. You agree to fully defend, indemnify, and hold harmless Colorfull Corp LLC and all Colorfull Parties from any and all claims arising out of: your food, beverages, ingredients, menus, recipes, preparation, cooking, storage, handling, transportation, or service; your kitchen, home, venue, premises, equipment, utilities, or physical conditions; your staff, assistants, contractors, vendors, or personnel; your guests or invitees; failure to obtain or maintain any required permit, license, certification, or insurance; violation of any law, ordinance, health/fire code, tax rule, alcohol law, labor law, FTC rule, or advertising regulation; any allergic reaction, foodborne illness, injury, disability, illness, or death; any content/post/statement/ad/review you create; any claim that Colorfull is responsible for your acts; any breach of Section 6; any IP/privacy/publicity violation; and any dispute with another user. 8.2 No Personal Liability of Colorfull's Individuals. 8.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NO LIABILITY FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOST PROFITS/REVENUE, BUSINESS INTERRUPTION, DATA LOSS, REPUTATIONAL HARM, EMOTIONAL DISTRESS, PERSONAL INJURY, ILLNESS, OR DEATH. TOTAL AGGREGATE LIABILITY ≤ AMOUNTS YOU PAID COLORFULL FOR THE SPECIFIC EVENT OR $100, WHICHEVER IS LESS. 8.4 California Civil Code Section 1542 Waiver. Releases both known and unknown claims. SECTION 9: DISPUTE RESOLUTION & GOVERNING LAW PLEASE READ THIS CAREFULLY. IT WAIVES YOUR RIGHT TO A JURY TRIAL AND CLASS ACTIONS. 9.1 Mandatory Binding Arbitration via JAMS or AAA. 9.2 Arbitration Terms: individual capacity only; jury waiver; venue Los Angeles County, California; California law; arbitrator's decision final. ALL CLAIMS MUST BE FILED WITHIN ONE (1) YEAR. 9.3 Governing Law & Venue: California; LA County. 9.4 Severability. 9.5 Force Majeure. SECTION 10: NON-DISCRIMINATION & CONDUCT You agree not to discriminate against, harass, threaten, abuse, intimidate, or harm any guest, fellow host, vendor, Colorfull representative, or other person based on any protected category. Colorfull may immediately remove, suspend, ban, and report any host engaging in discriminatory, threatening, violent, sexually inappropriate, illegal, or brand-damaging behavior. SECTION 11: GENERAL PROVISIONS 11.1 Entire Agreement. 11.2 Prohibited Conduct (no fake profiles, false info, scraping, fee circumvention, spam, malware, unauthorized access, facilitating unlicensed food operations, defamation, or unlawful use). 11.3 Contact: legal@colorfull.com | support@colorfull.com | safety@colorfull.com. SECTION 11B: MARKETING, PROMOTIONAL USE & DATA MONETIZATION CONSENT By participating on the platform you expressly and irrevocably consent to Colorfull's collection, use, combination, sharing, disclosure, transfer, licensing, rental, and SALE of your and your guests' personal information collected through your events — including names, email addresses, phone numbers, mailing addresses, IP addresses, device identifiers, geolocation, demographic and inferred lifestyle information, dining preferences, dietary information, attendance and booking history, payment metadata, photos, audio, video, menus, recipes, and any other information submitted or generated on or through the platform — for any commercial purpose Colorfull deems appropriate, including but not limited to: (a) marketing, advertising, promotional, retargeting, lookalike-modeling, and audience-segmentation campaigns by Colorfull and its affiliates, sponsors, brand partners, ad networks, and data partners across email, SMS, push, paid social, programmatic display, connected TV, podcast, out-of-home, and any current or future medium; (b) SALE, RENTAL, LICENSE, EXCHANGE, OR TRANSFER of personal information and derived audience segments to third parties — including data brokers, advertising platforms, brand partners, list buyers, market researchers, and analytics providers — for monetary or other valuable consideration; (c) use of your name, business name, likeness, voice, image, chef brand, social handles, quotes, and testimonials in advertising and promotional materials without further notice, approval, credit, or compensation; (d) combination of platform data with third-party data for ad targeting, audience modeling, scoring, and commercial analytics; and (e) any other monetization consistent with Colorfull's Privacy Policy, as updated from time to time. You acknowledge that this consent expressly authorizes the "sale" and "sharing" of personal information as those terms are defined under the California Consumer Privacy Act / CPRA, Virginia VCDPA, Colorado CPA, and similar state privacy laws. You further represent and warrant that you have obtained any guest-side consents necessary for Colorfull to receive and use guest information for these purposes. Opt-out requests may be sent to privacy@eatcolorfull.com. SECTION 12: HOST CONFIRMATION By checking "I agree" below, you affirmatively confirm each of the following: you have read, understood, and agree to the full Host & Chef Agreement; you understand Colorfull is a technology platform only with no involvement in your food, kitchen, venue, guests, staff, permits, insurance, taxes, or operations; you are an independent party and not an employee, agent, or partner of Colorfull; you are solely and exclusively responsible for your food, beverages, ingredients, preparation, storage, handling, service, kitchen, venue, guests, staff, permits, licenses, insurance, taxes, legal compliance, safety, content, and conduct; you hold or will obtain all required permits, licenses, certifications, and insurance before hosting any event; you agree to the non-circumvention and confidentiality obligations in Section 6 for two (2) years following termination; you agree to release, defend, indemnify, and hold harmless Colorfull and all Colorfull Parties from any and all claims arising from your event, food, venue, guests, staff, content, legal compliance, or conduct; you grant Colorfull the full, perpetual, irrevocable, worldwide, royalty-free content and media usage rights described in Section 7; you expressly consent to the marketing, promotional use, and sale of personal information described in Section 11B; and you confirm you are at least 18 years of age and have full legal authority to enter into this Agreement.
